These Oz Terms of Service ("Oz Terms") govern your access to and use of Oz, an AI teammate product operated by AnyReach Inc. ("AnyReach," "we," "us," "our"). Oz is part of the AnyReach platform. These Oz Terms supplement, and where they specifically address Oz they control over, the general AnyReach Terms of Service. Capitalized terms not defined here have the meaning given in the AnyReach Terms of Service.
By accessing or using Oz, you ("user," "you," "your") agree to be bound by these Oz Terms. If you are using Oz on behalf of an organization, you represent that you have authority to bind that organization, and "you" includes that organization. If you do not agree, do not use Oz.
1. Description of Oz
Oz is an AI assistant ("agent") that operates across messaging and productivity channels (such as Slack, Microsoft Teams, and email) and that, at your direction and with your authorization, connects to third-party services (such as email, calendar, CRM, and file storage) to help you carry out work. Oz can read information from connected services, generate content (such as draft replies, summaries, recaps, and documents), maintain a persistent memory to personalize its assistance, and—where you enable it—take actions on your behalf.
Oz uses third-party artificial-intelligence models to operate. AI outputs are probabilistic and may be incomplete, inaccurate, or unsuitable for your purpose. See Sections 6 and 7.
We may modify, suspend, add, or discontinue any feature of Oz at any time. Features labeled beta, preview, or early access are provided as described in Section 13.
1A. AI Features & Data Processing
Oz includes features powered by AnyReach Inc. ("Anyreach"), the company that develops and operates the Oz assistant. When you use Oz's AI-powered features, the following data is transmitted to Anyreach's servers to generate responses and complete tasks on your behalf:
- Messages you send to Oz and conversations you have with Oz
- Files, images, and documents you upload or share with Oz
- Your account information (name, email address, workspace membership)
- Contact and conversation metadata Oz accesses to work on your behalf (email threads, Slack messages, call transcripts)
By using Oz, you acknowledge and agree that:
Data Transmission. Messages, files, account information, and conversation data you provide to Oz are transmitted to Anyreach's AI service to generate responses and perform tasks.
Consent. Before any data is sent, the app presents a one-time consent screen that explains what data is shared and requires your explicit approval. You may withdraw consent at any time by discontinuing use of the AI features or signing out of the app.
Data Handling. Anyreach processes your data solely to provide the Oz service. Your data is not sold to third parties, not used to train public AI models, and not shared with other customers. Anyreach maintains security measures consistent with industry standards for SaaS and AI services, including encryption in transit (TLS) and at rest.
Privacy Policy. Full details on what data is collected, how it is used, and your rights are set out in our Privacy Policy. You can request deletion of your data at any time by contacting support@anyreach.ai.
2. Eligibility
You must be at least the age of majority in your jurisdiction and have the legal capacity to enter these Oz Terms. Oz is intended for business and professional use. You may use Oz only in compliance with these Oz Terms and all applicable laws.
3. Accounts and Authentication
Single sign-on only. Oz does not use passwords. You create and access your account exclusively through a supported single sign-on (SSO) identity provider (such as Google, Microsoft/Outlook, Microsoft Teams, or Slack). You are responsible for maintaining the security of your underlying identity-provider account and for all activity that occurs under your Oz account.
Organizations and roles. Your Oz account is associated with an organization or workspace determined by your SSO identity. Access, data, and administrative controls are scoped to your organization. Some functions are available only to users with administrator or owner roles. You are responsible for managing roles and permissions within your organization.
Accurate information. You agree to provide accurate, current, and complete information and to keep it updated.
Suspension and termination. We may suspend or terminate your account if we suspect unauthorized use, non-payment, or violation of these Oz Terms. See Section 15.
4. Customer Content and Ownership
"Customer Content" means the data, instructions, messages, files, and other materials that you or your authorized users submit to Oz, and the data Oz accesses from your Connected Services (Section 5) at your direction.
As between you and AnyReach, you retain all rights in your Customer Content. You grant AnyReach a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, and otherwise use Customer Content solely to operate and provide Oz to you, to maintain security, to comply with law, and as otherwise permitted by these Oz Terms and the Oz Privacy Policy. We do not claim ownership of your Customer Content.
Customer Content is logically isolated to your organization. We do not use one customer's Customer Content to serve another customer, except for de-identified, aggregated data that cannot reasonably be used to identify you, your organization, or any individual.
5. Connected Services and Integrations
Oz can connect to third-party services and accounts you authorize ("Connected Services"), including through our integration provider. By connecting a service, you:
- authorize Oz to access, read, and (where you enable it) write to that service on your behalf, within the scopes you grant;
- represent and warrant that you have the right and authority to connect that service and to authorize Oz to access the data in it, including any consents required from your organization or from other individuals whose data the service contains; and
- acknowledge that your use of each Connected Service remains governed by that third party's own terms and policies, and that AnyReach is not responsible for Connected Services or for changes a third party makes to them.
You may disconnect a Connected Service at any time through Oz or through the third party. Disconnecting may limit Oz's functionality. We access Connected Services only as needed to provide Oz and consistent with the Oz Privacy Policy.
6. Agent Actions and Your Responsibility
Oz can take actions on your behalf, such as drafting and sending messages, scheduling events, creating or updating records, and generating files. You control how Oz acts:
- Propose mode (default). Oz prepares an action (for example, a draft reply) and presents it for your review; the action is not taken until you approve it.
- Automated actions. Where you explicitly enable Oz to act autonomously for defined tasks, Oz may take those actions without a separate approval each time.
You are responsible for all actions Oz takes at your direction or that you authorize, whether in propose mode or automated mode, to the same extent as if you had taken them yourself. This includes messages sent, records changed, communications initiated, and any consequences of those actions. You are responsible for reviewing Oz's proposed actions before approving them and for configuring automated actions appropriately for your risk tolerance.
You agree not to enable or use automated actions in any manner that would violate applicable law (including anti-spam and telemarketing laws), the terms of a Connected Service, or the rights of others.
7. AI Outputs; No Professional Advice
Oz relies on AI models that generate outputs probabilistically. Outputs may be inaccurate, outdated, incomplete, or otherwise unsuitable, and may not reflect the most current information. You are responsible for reviewing and verifying Oz's outputs before relying on them, and for exercising human judgment before taking any consequential action.
Oz does not provide legal, financial, tax, medical, or other professional advice, and its outputs are not a substitute for a qualified professional. Do not rely on Oz for decisions that require professional advice.
8. Acceptable Use
You agree not to, and not to permit anyone to:
- violate any applicable law or regulation, including data-protection, anti-spam (e.g., CAN-SPAM), telemarketing (e.g., TCPA), and intellectual-property laws;
- use Oz to send unsolicited bulk or harassing communications, or to impersonate any person or entity;
- submit to Oz, or have Oz process, data that you do not have the right and authority to provide or process (see Section 9);
- upload or transmit unlawful, infringing, or malicious content, or malware;
- attempt to access data of another organization or user, or to circumvent Oz's security, tenancy isolation, rate limits, or usage controls;
- reverse engineer, scrape, or build a competing product from Oz, except to the extent this restriction is prohibited by law;
- use Oz to develop, train, or improve a competing AI model or service; or
- use Oz in violation of any Connected Service's terms.
We may investigate and take appropriate action, including suspending or terminating accounts and removing content, for suspected violations.
9. Third-Party Data and People You Engage
Oz may process personal data about individuals who are not Oz users—for example, people you email, people copied on a thread Oz participates in, contacts in a connected CRM, or participants in a Slack or Teams conversation Oz is part of ("Third-Party Data").
Your responsibilities. When you cause Oz to process Third-Party Data, you represent and warrant that you have all rights, authority, and consents necessary for that processing, and that the processing is lawful. As between you and AnyReach, you are the controller of Third-Party Data and AnyReach acts as your processor in respect of it, as described in the Oz Privacy Policy and any applicable Data Processing Addendum.
Engaged participants. Oz may allow individuals you have engaged (for example, someone copied on an email Oz is on, or a participant in a thread Oz is in) to interact with your Oz only within that conversation and only with respect to the information you have shared into that context. Such interactions do not give those individuals access to your broader organization data, and any work they prompt is performed on your behalf and may be billed to your organization. You are responsible for the participants you bring into a conversation with Oz.
You agree to indemnify AnyReach for claims arising from Third-Party Data you cause Oz to process (Section 18).
10. Intellectual Property
Oz and the AnyReach platform—including all software, models (as licensed to us), text, graphics, and logos—are owned by or licensed to AnyReach and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use Oz for your internal business purposes during your subscription, subject to these Oz Terms. All rights not expressly granted are reserved.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or sublicense any part of Oz without our prior written permission.
Feedback. If you give us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.
11. Skills and User-Provided Materials
Oz may allow you to create, upload, or configure "skills," instructions, prompts, templates, and similar materials. You are responsible for these materials and represent you have the right to use them. You grant AnyReach a license to host and process them to provide Oz to you. Oz may also generate or propose skills based on your usage; these are treated as part of your Customer Content and isolated to your organization, subject to Section 4.
12. Plans, Credits, Billing, and Usage Limits
Plans and credits. Access to Oz may be offered on subscription plans and/or a usage-based "credits" model. Your plan, included credits, pricing, and renewal terms are presented at signup or in your account.
Payment. Fees are stated in USD and processed through our third-party payment processor. You authorize us to charge your selected payment method for all applicable fees and taxes. Except where required by law or expressly stated, fees and credits are non-refundable.
Usage metering and limits. Oz meters usage (for example, by credits) and may impose plan limits. When your organization reaches a usage limit or exhausts its credits, Oz may pause or restrict further agent activity, and we will notify you through the product and/or other channels. To resume, you may need to add or update a payment method, purchase additional credits, or upgrade your plan. We may provide limited grace allowances at our discretion.
Changes. We may change pricing, plans, and credit values prospectively, with notice as required by law; changes do not apply to the current paid term unless stated. Renewals occur at the then-current rate unless cancelled as described in your account.
13. Beta and Preview Features
Features identified as beta, preview, early access, or experimental are provided "as is," may be changed or withdrawn at any time, may be subject to additional terms, and are excluded from any service commitments. Do not rely on beta features for production-critical workflows.
14. Confidentiality
Each party may access the other's confidential information. Each party will protect the other's confidential information with reasonable care and use it only to perform under these Oz Terms, except for information that is public, independently developed, or required to be disclosed by law (with notice where permitted).
15. Term, Suspension, and Termination
These Oz Terms apply while you use Oz. We may suspend or terminate your access at any time, with or without notice, for any reason, including violation of these Oz Terms or non-payment. You may stop using Oz at any time and may close your account through the product.
Effect of termination. Upon termination, your right to use Oz ends. We will make Customer Content available for export for a limited period as described in the Oz Privacy Policy or your order, after which we may delete or de-identify it, subject to legal retention obligations. Sections that by their nature should survive (including 4, 7, 9–10, 14, 16–19, and 21) survive termination.
16. Disclaimer of Warranties
OZ IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ANYREACH DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OZ WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT AI OUTPUTS WILL BE ACCURATE OR RELIABLE. WE ARE NOT RESPONSIBLE FOR CONNECTED SERVICES OR OTHER THIRD-PARTY SERVICES.
17. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, ANYREACH AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, OR FOR ANY ACTION OZ TAKES AT YOUR DIRECTION OR THAT YOU AUTHORIZE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO OZ WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR OZ IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100. THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF A REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.
18. Indemnification
You agree to indemnify, defend, and hold harmless AnyReach and its affiliates, officers, and employees from any claims, losses, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your Customer Content; (b) Third-Party Data you cause Oz to process and your representations in Section 9; (c) actions Oz takes at your direction or that you authorize; (d) your use of Connected Services; or (e) your violation of these Oz Terms or applicable law.
19. Governing Law and Disputes
These Oz Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware.
20. Changes to These Oz Terms
We may update these Oz Terms from time to time. We will post material changes in the product or notify you by email or other reasonable means. Your continued use of Oz after changes take effect constitutes acceptance.
